1. Introduction
Welcome to UGC Deck, a video content creation agency providing UGC-style content, video production services, and related creative solutions. These Terms and Conditions (“Terms”) govern your use of our services, website, deliverables, communication channels, and all associated platforms.
By engaging with UGC Deck, you (“Client”) agree to comply with and be bound by these Terms.
2. Definitions
- “UGC Deck”, “We”, “Our”, “Us” – refers to the agency and its parent company Content Devs.
- “Client” – the person or organization purchasing or engaging our services.
- “Project” – any deliverable, service, or engagement covered under an official agreement, invoice, or communication.
- “Deliverables” – all videos, content, assets, and creative outputs provided by UGC Deck.
- “Content Creators” – independent creators or team members producing UGC for the Client.
- “Parties” – UGC Deck and the Client collectively.
3. Scope of Services
UGC Deck provides:
- UGC-style content creation
- Talking-head video production
- Product videos and demonstrational videos
- Full-scale video production (on-site and virtual)
- Content strategy and scripting
- Editing and post-production services
- Monthly content management
The scope of each engagement will be outlined in the Client’s invoice or contract.
4. Project Workflow
4.1 Initiation
A project begins only after:
- A signed agreement or approval message, and
- Initial payment as stated in the invoice.
4.2 Creative Process
- Client provides brief, brand guidelines, examples, or instructions.
- UGC Deck creates scripts, storyboards, or concepts (if included in package).
- Production (virtual or on-site) is done according to chosen package.
- Editing and revision cycles follow the plan purchased.
4.3 Deliverables
Deliverables are provided in MP4 format unless specified otherwise.
5. Payment Terms
- Payment is 100% upfront unless stated otherwise.
- For recurring monthly services, payments must be made before production begins.
- All fees are non-refundable once work has started.
- Late payment may cause delays or project suspension.
UGC Deck is not responsible for delays caused by unpaid invoices.
6. Revisions Policy
- Each package includes a specified number of revisions.
- Revisions are limited to edits based on the original script or brief.
- Major changes requiring re-shoots or new scripts will incur additional charges.
- Revision requests must be made within 7 days of receiving deliverables.
7. Client Responsibilities
The Client agrees to:
- Provide accurate briefs, brand guidelines, and instructions.
- Supply necessary footage, product samples, or brand assets.
- Communicate promptly through agreed channels.
- Approve concepts within defined timelines.
UGC Deck is not responsible for project delays caused by late approvals, unclear instructions, or lack of information.
8. Turnaround Time
Turnaround time varies by package and project load.
Typical timelines:
- UGC-style videos: 5–10 working days
- Full production: 10–21 working days
- Monthly content: Delivered within the month

9. Intellectual Property & Usage Rights
9.1 Ownership
- Final deliverables become the Client’s property only after full payment.
- Raw files (unedited footage) remain the property of UGC Deck unless purchased separately.
9.2 Usage Rights
Clients receive:
- Unlimited usage and distribution rights for paid deliverables.
- Rights to use content for ads, social media, websites, and marketing.
Creators may retain non-exclusive portfolio rights unless the Client purchases a full buyout.
10. Content Approvals & Quality Assurance
- UGC Deck ensures professional-quality video production according to the agreed brief.
- Once the Client approves scripts or concepts, any changes may attract additional charges.
- Content is delivered in high-resolution formats suitable for most platforms.
11. Confidentiality
Both parties agree to keep all non-public project-related information confidential.
This includes scripts, briefs, internal documents, and strategies.
12. Data & File Storage
- Final videos are stored for 30 days after delivery.
- After 30 days, UGC Deck may delete project files.
- Clients are responsible for downloading and backing up their content.
13. Communication Channels
UGC Deck communicates through:
- WhatsApp Business
- Discord (for team coordination)
- Loom or Awesome Screenshot (for feedback)
- Our Client Portal ↵
Clients should use designated channels for all official communications.
14. Refund Policy
UGC Deck does not offer refunds once work has begun.
Refunds may only be considered if:
- No work has started, and
- A refund request is sent within 24 hours of payment.
15. Cancellations
If the Client cancels after production has begun, full payment is forfeited.
UGC Deck may cancel a project if:
- The Client is unresponsive for 14+ days.
- The Client violates policies or engages in abusive communication.
16. Indemnity
The Client agrees to indemnify UGC Deck against any claims arising from:
- Misuse of deliverables
- Misrepresentation of products or services
- Violations of platform advertising rules
UGC Deck is not responsible for ad performance or account restrictions.
17. Limitation of Liability
UGC Deck will not be liable for:
- Loss of revenue or expected profits
- Delays caused by Client or third-party platforms
- Issues beyond our control (e.g., weather, creator availability, technical failures)
Maximum liability is limited to the amount paid by the Client.
18. Portfolio Use
UGC Deck may display completed work in portfolios, ads, or case studies unless the Client requests otherwise in writing.
A full content buyout may be required to restrict portfolio use.
18.1 Portfolio Rights & Exceptions
UGC Deck maintains the full right to use any videos, content, or creative assets produced for the Client as part of our portfolio, including—but not limited to, our website, social media pages, ads, sales materials, presentations, and case studies.
Exception: This right does not apply to:
- Certified whitelabel partners, or
- Clients working with UGC Deck under any outsourcing, subcontracting, or private-label arrangement.
Such clients may request full confidentiality, and UGC Deck will comply as part of the partnership terms.
19. Amendments
UGC Deck reserves the right to update these Terms occasionally. Updates will be posted on our website or communicated directly.
19.1 Delivery Format & Platform Optimization Delivery Format & Platform Optimization
UGC Deck delivers videos in MP4 format by default. Platform-specific versions (e.g., TikTok, Instagram Reels, YouTube Shorts, Facebook) may be provided if included in the purchased package. Requests for additional formats, aspect ratios, or re-exports beyond the agreed scope may incur extra charges.
UGC Deck does not guarantee optimization for every social media platform unless explicitly included.
19.2 Schedule & Availability
UGC Deck operates Monday–Friday, 9 AM–6 PM (WAT). Response time is typically within 24–48 hours. Weekend or holiday communication is not guaranteed unless part of a premium service package. Urgent requests may attract expedited fees.
19.3 Creator Availability & Substitution
Creator availability may vary. UGC Deck reserves the right to assign or substitute creators based on availability, schedule, or suitability. Substitution does not affect delivery timelines or project validity unless a specific creator was paid for.
19.4 Reshoot Policy
Reshoots are only covered if UGC Deck delivers content that deviates from the approved brief. Reshoots requested due to revised instructions, new creative ideas, or product repositioning will incur extra charges.
19.5 Product Handling & Liability
UGC Deck is not responsible for:
- lost or damaged product samples,
- shipping fees unless agreed,
- return shipping costs.
Products left uncollected after 30 days may be discarded.
19.5 Ad Performance Disclaimer
UGC Deck is not responsible for ad performance, ROAS, CPM, or account restrictions. The Client is responsible for ensuring their product, claims, and ad account comply with advertising platform rules.
19.6 On-Site Production Clause
For physical shoots at the Client’s location:
- travel fees may apply,
- accommodation may be required for long-distance shoots,
- the Client must provide a safe, clean, and functional environment.
UGC Deck is not liable for accidents caused by unsafe locations or client equipment.
19.7 Creator Conduct & Safety
Clients must treat creators and staff respectfully. Any form of harassment, discrimination, or unsafe requests will result in immediate project termination without a refund.
19.8 Compliance With Advertising Policies
Clients must ensure their products comply with Meta, TikTok, YouTube, Google, and other platform advertising policies. UGC Deck will not be held liable for non-compliant claims, product restrictions, or ad rejections.
19.9 Non-Solicitation of Creators
Clients agree not to hire, contract, or work directly with UGC Deck creators or staff outside UGC Deck for 24 months. Violations will incur a penalty fee equivalent to 12 months of the Client’s last service fee.
19.10 Service-Level Agreement (SLA)
UGC Deck aims to respond to all client messages within 24–48 hours during business days. Standard delivery and revision timelines apply as outlined in the project scope. Any accelerated timelines or priority handling may attract additional fees.
19.11 Force Majeure
UGC Deck will not be liable for delays or inability to deliver services caused by events beyond our control, including but not limited to: power outages, illness, internet disruptions, equipment failure, natural disasters, civil unrest, or platform-wide outages.
19.12 Privacy & Data Protection
UGC Deck will not share client information, scripts, or files with third parties except subcontractors directly involved in production. Files are stored securely and retained only within the defined storage period.
19.13 Tax & Regulatory Compliance
Clients are solely responsible for ensuring their products, claims, and marketing comply with all tax, regulatory, and industry standards. UGC Deck does not provide legal or regulatory approval services.
19.14 Third-Party Tools & Dependencies
UGC Deck uses third-party tools (e.g., editing software, AI tools, licensing platforms). We are not responsible for delays or issues caused by outages, bugs, or failures of these external systems.
19.15 Music & Licensing
UGC Deck provides royalty-free or licensed music based on the package purchased. If the Client requests specific tracks requiring separate licensing, the Client is responsible for all associated fees. UGC Deck is not liable for copyright claims resulting from music provided by the Client.
19.16 Storage & Archiving Extension
Project files are stored for 30 days after delivery. Extended archiving may be purchased as an add-on. Retrieval of deleted files is not guaranteed.
19.17 Project Suspension
UGC Deck may pause a project if the Client:
- becomes unresponsive for more than 14 days,
- fails to make payments,
- engages in abusive or unsafe communication.
Resumption may require a reactivation fee.
19.18 Subcontracting Permission
UGC Deck may subcontract certain aspects of production to vetted freelancers or creators. All subcontractors adhere to UGC Deck standards and confidentiality. Direct communication with subcontractors is prohibited unless approved.
19.19 Dispute Resolution
Any dispute must first be addressed through written communication. If unresolved, both Parties agree to attempt mediation or arbitration before pursuing legal action.
19.20 Content Claim Limitations
Clients are responsible for ensuring the accuracy and legality of any claims included in scripts or briefs, particularly in health, skincare, financial, or results-based statements.
19.21 Retainer Lock-In & Cancellation
For monthly retainer clients:
- a minimum commitment period may apply,
- cancellation requires written notice at least 30 days in advance,
- subscription rates may be locked for the duration of the agreement.
20. Creator Image Protection
The Client acknowledges that the creators engaged through UGC Deck retain image rights and the right to personal representation. The Client agrees not to alter, edit, manipulate, repurpose, or position creators in any manner that:
Misrepresents their actions, beliefs, endorsements, or statements.
Associates them with illegal, discriminatory, harmful, sexual, political, or controversial content.
Places the creator in contexts that may damage their personal reputation, safety, or public image.
Suggests claims (health, financial, medical, or performance claims) that the creator did not explicitly make on record.
Uses the creator’s image for campaigns that fall outside the originally contracted scope or usage period without renewal.
The Client agrees not to create derivative content**, including** but not limited to:
– AI-generated versions of the creator
– digitally altered facial expressions
– voice cloning
– body replacement
– reenactments
– composites
– or misleading edits
Any intentional misrepresentation or misuse of a creator’s image, face, voice, or identity is considered a severe breach of this agreement and grants UGC Deck the right to:
– immediately revoke content usage rights,
– demand compensation for damages, and
– pursue legal or regulatory action on behalf of the creator.
UGC Deck reserves the right to permanently blacklist any client found violating this clause.
21. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any disputes shall be resolved in Ibadan, Oyo State, unless mutually agreed otherwise.
22. Acceptance
By making payment, approving a proposal, or engaging with UGC Deck, the Client agrees to these Terms and Conditions.
